PUBLIC OFFER (AGREEMENT)

FOR THE PROVISION OF SERVICES FOR ORGANIZING TOURIST EVENTS (HIKING, HIKING AND TOURS)

This document is an official public offer (Public offer) of the Individual Entrepreneur P/E Maksim Eremeev (TIN/Registration number: 306387157, Georgia), hereinafter referred to as the “Contractor”, to enter into an Agreement for the provision of services for the organization and conduct of tourist and excursion activities (hikes, hikes, jeep tour programs, corporate and foreign tours) with any individual or a legal entity, hereinafter referred to as the “Client”.

In accordance with Art. 329 and art. 331 of the Civil Code of Georgia, full or partial payment by the Client for the Contractor’s services constitutes unconditional acceptance (acceptance) of the terms of this Agreement. From the moment the payment is made, the Agreement is considered concluded in writing.

1. SUBJECT OF THE AGREEMENT

1.1. The Contractor undertakes, on behalf of the Client, to provide services for booking, organizing and conducting a tourist event (hereinafter referred to as the “Event” / “Tour” / “Hike”) in accordance with the program specified on the official website of the Contractor (https://hikingmax.com), and the Client undertakes to pay for these services and comply with the rules established by this Agreement.

1.2. Events can have different formats: one-day hikes, multi-day hiking trips, jeep tours, corporate programs and foreign tours. Booking and cancellation policies vary depending on the format chosen (Section 4).

2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. The Contractor undertakes:

2.1.1. Provide the Client with complete information about the Event program, level of difficulty, equipment requirements and cost.

2.1.2. Организовать Мероприятие в соответствии с описанием, включая услуги, входящие в стоимость (трансфер, сопровождение пеших гидов, групповое снаряжение, аптечку и др. в зависимости от тарифа).

2.2. The performer has the right:

2.2.1. Change the route, schedule or cancel/postpone the Event in case of adverse weather conditions, threat to the safety of participants or other force majeure circumstances.

2.2.2. Refuse the Client to participate (without refund) if the Client arrives in a state of alcoholic/drug intoxication, in the absence of mandatory equipment (for example, shoes with tread for difficult routes) or in case of gross violation of safety rules and instructions of the guide.

2.3. The client undertakes:

2.3.1. Pay the cost of the Event in a timely manner and in full.

2.3.2. Independently and objectively assess your level of physical fitness and health status before registering for the Event.

2.3.3. Arrive at the start point of the Event without delay. If the Client is late, the transfer and the group do not expect him, the service is considered provided, and no refund is made.

2.3.4. Absolutely follow safety precautions and follow the instructions of the walking guide/group leader throughout the entire route.

2.3.5. Treat the equipment provided by the Contractor or partners with care. In the event of loss or damage to equipment due to the fault of the Client, he undertakes to reimburse its full market value.

3. COST AND PAYMENT PROCEDURE

3.1. For regular (group) Events, the cost is indicated on the official website of the Contractor and is fixed for the Client at the time of making an advance payment or deposit.

3.1.1. For individual, corporate and closed group Tours, developed at the Client’s individual request, the final cost is not fixed on the website. It is calculated by the Contractor individually based on the details of the individual tour, dates, number of participants and range of services. The final cost of such Tours is agreed upon by the Parties in the process of correspondence (via email or instant messengers) and is finally fixed in the invoice issued by the Contractor or in an individual estimate.

3.2. Payment is made in the manner prescribed for a specific type of Event (prepayment, deposit or full payment) through payment systems on the website or using the direct details of the Contractor.

3.3. The currency of settlements in Georgia is the Georgian lari (GEL). For international shipments, payments can be made in other available currencies (USD, EUR) by prior agreement of the parties and at the Contractor's exchange rate on the day of invoice.

4. TERMS OF RESERVATION, CANCELLATION AND REFUND

The cancellation and refund rules depend strictly on the category of the Event:

4.1. ONE DAY HIKES

Cancellation by the Client more than 3 days (72 hours) before the start of the event - 100% of the paid amount is returned.

Cancellation by the Client from 3 to 2 days (72 to 48 hours) before the start of the event - 50% of the paid amount is returned.

Cancellation by the Client less than 2 days (48 hours) before the start of the event - no refund is provided.

Alternative: Instead of a refund, the Client has the right to agree with the Contractor to transfer the deposit/payment to another Event from the Contractor’s calendar.

4.2. MULTI-DAY HIKES AND TOURS

4.2.1. Procedure for booking and confirmation of participation:

- To reserve a place on a hike or tour, the Client makes an advance payment (security deposit) in the amount of 20% of the total cost of the Event.

- No later than 10 days before the start date of the Event, the Client undertakes to pay the remaining cost of 80%. In the absence of full payment 10 days before the start, the reservation is canceled by the Contractor unilaterally, and the deposit paid is withheld in accordance with clause 4.2.2.

4.2.2. The procedure for terminating the contract at the initiative of the Client and proportionate reimbursement of expenses:

The parties agree that organizing multi-day mountain hikes requires the Contractor to make advance non-refundable reservations of resources. In this regard, if the Client refuses to participate, the following conditions are established:

- Cancellation of reservation more than 10 days before the start of the Event

The Contractor makes a refund in the amount of 10% of the total cost of the Event (half of the deposit). The remaining 10% of the total cost is retained by the Contractor as a fixed compensation for the actual operational costs incurred for the pre-booking.

- Cancellation of a reservation 10 days or less before the start of the Event (including periods after the final payment has been made)

The Contractor retains 100% of the total cost of the Event (including deposit and final payment). During this period, the amount is not refundable, since by this time the Contractor will bear in full the non-refundable costs for the targeted preparation of the Tour for the Client (100% payment for accommodation, guide services, meals and reservation of passenger seats in transport).

4.3. FOREIGN AND CORPORATE TOURS

To reserve a place, the Client makes a non-refundable deposit of 20% of the total cost of the Tour. If the Tour is canceled at the initiative of the Client, this deposit is not returned under any cancellation period.

The Client must pay the remaining amount no later than 10 days before the start of the event.

4.4. CANCELLATION OR TRANSFER BY THE CONTRACTOR

If the cancellation of the Event or its transfer to other dates occurred at the initiative of the Contractor (including cases of dangerous weather conditions), a refund to the Client or transfer of the deposit to other dates is carried out in full (100%) amount.

4.5. RETURN PROCEDURE

Refunds at the Client's initiative (in the cases provided for in clauses 4.1 and 4.2) are made by the Contractor within 14 working days after the Client's official written request. Commissions of payment systems and banks for return transfers may be deducted from the refund amount.

5. SPECIAL CONDITIONS: PARTICIPATION OF MINORS (CHILDREN)

5.1. Несовершеннолетние лица (до 18 лет) допускаются к участию в Мероприятиях строго в сопровождении законных представителей (родителей, опекунов) или совершеннолетних лиц, имеющих нотариальную доверенность от родителей.

5.2. Responsibility: Legal representatives are obliged to continuously and personally monitor the behavior, physical and psychological condition of the child throughout the entire transfer and walking route. The performer (and team guides) does not supervise children and is not responsible for their safety if injuries or incidents result from the child’s negligence or failure to comply

by his/her parents instructions from the guide.

5.3. Age limit: Admission of children to the routes is strictly regulated by their complexity:

● Easy routes: children from 7–8 years old are allowed.

● Medium and Difficult routes: strictly from 12–14 years old.

● Extreme treks (Kelitsadi, Okrotskali): strictly 16+ or 18+.

5.4. Rules for transporting children in transport: In accordance with Georgian traffic rules and Hiking Max internal safety standards:

● Children under 12 years of age travel exclusively in the rear seats of a car/minivan.

● Each child occupies a separate full-fledged passenger seat (carrying children on the laps of adults over 3 years old is strictly prohibited).

● For children aged 3 to 7-8 years, parents are required to provide their own restraint device (booster/car seat) or agree in advance on its provision by the Contractor.

5.5. The guide’s right to refuse (Removal from the route without compensation): The senior guide has the right at the meeting point or at any time during the Event to refuse the parent and child to continue the journey if:

● The actual age of the child is less than stated when booking and does not correspond to the difficulty of the trail;

● The child does not have the required personal equipment (trekking shoes with tread, warm clothes, raincoat);

● The child's behavior or physical condition threatens the safety of the child or the movement schedule of the entire group.

In this case, the service is considered provided, and the cost of the tour is not refunded.

6. LIABILITY OF THE PARTIES AND LIMITATION OF LIABILITY

6.1. The Contractor is not responsible for the deterioration of the Client’s health, injuries, exacerbation of chronic diseases or accidents that occur during the Event if they are caused by the Client’s physiological characteristics, violation of safety rules, negligence, or failure to follow the guide’s instructions.

6.2. The client is informed that hiking in the mountains (hiking) is an active form of recreation and is associated with natural risks. The client assumes all risks associated with possible injury.

6.3. Insurance: The Contractor does not include medical or sports insurance in the cost of the Events. The Client is obliged to independently take out an appropriate insurance policy covering the risks of “active recreation / trekking / hiking” for the period of the Event.

6.4. The Contractor is not responsible for the safety of the Client’s personal belongings, documents and equipment throughout the entire route.

7. DISPUTE RESOLUTION AND APPLICABLE LAW

7.1. All disputes and disagreements arising from this Agreement or in connection with it, the Parties will strive to resolve through negotiations.

7.2. This Agreement shall be governed by, construed and enforced in accordance with the current substantive and procedural laws of Georgia.

7.3. If the Parties do not reach an agreement pre-trial, the dispute shall be considered in court at the place of registration of the Contractor (Georgia).
